Terms of Service

1. Introduction

Welcome to DealBite ("Platform", "we", "us", or "our"), a digital deal discovery platform owned by ALTOP IT SOLUTIONS INC., a corporation incorporated under the laws of Ontario, Canada. By accessing or using DealBite at dealbite.ca (the "Website") or any related mobile applications, you ("User", "you") agree to be bound by these Terms of Service ("Terms").

If you do not agree with these Terms, please discontinue use of the Platform immediately.

2. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with:

  • The Canada Business Corporations Act (R.S.C., 1985, c. C-44)
  • The Electronic Commerce Act, 2000 (Ontario, S.O. 2000, c. 17)
  • The Consumer Protection Act, 2002 (Ontario, S.O. 2002, c. 30)
  • The Personal Information Protection and Electronic Documents Act (PIPEDA, S.C. 2000, c. 5)
  • Ontario's Municipal Act, 2001 and applicable municipal by-laws
  • Any other applicable federal, provincial, or municipal laws of Canada and Ontario

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.

3. Eligibility

To use the DealBite Platform, you must satisfy the following eligibility requirements:

  • Customers (iOS & Android App Users): You must be of the minimum legal age required by the applicable federal or provincial laws of Canada in the province or territory in which you reside to enter into a binding agreement and use digital marketplace applications. Where no specific age is prescribed, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
  • Merchants: To register as a merchant and publish or manage deals on the Platform, you must be a natural person or authorized representative of a legal entity that is lawfully operating a business in Canada and duly registered or incorporated in the applicable province or territory. You must further be of the age of majority in your jurisdiction and hold all required federal, provincial, and municipal licences, permits, and registrations necessary to carry on your business activities in compliance with applicable law.

By accessing or using the Platform, you represent and warrant that you meet all applicable eligibility requirements. ALTOP IT SOLUTIONS INC. reserves the right to suspend or terminate access for any User who does not satisfy these requirements.

4. Description of Services

DealBite is an online marketplace that connects consumers with local restaurants and food merchants offering promotional deals and discounts. ALTOP IT SOLUTIONS INC. acts solely as an intermediary platform and is not a party to any transaction between Users and merchants.

We do not guarantee the accuracy, completeness, or availability of any deal listed on the Platform. Deals are created and managed by independent merchants.

5. User Accounts & Registration

To access certain features, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use at support@dealbite.ca

ALTOP IT SOLUTIONS INC. reserves the right to suspend or terminate accounts that violate these Terms.

6. Merchant Terms

Merchants who list deals on DealBite agree to:

  • Provide accurate deal information, including pricing, expiry dates, and conditions.
  • Honour all published deals to customers who present valid clipped deal confirmations. Once a deal is published to the DealBite platform, merchants are obligated to honour it for the duration of the deal's active period. Failure to honour published deals may result in account suspension.
  • Comply with all applicable federal, Ontario provincial, and municipal business licensing requirements.
  • Comply with the Food Premises Regulation (O. Reg. 493/17) and applicable health codes.
  • Not engage in deceptive pricing or misleading advertising contrary to the Competition Act (R.S.C., 1985, c. C-34).
  • Pay applicable subscription fees as outlined in the selected plan.
  • 30-Day Billing Cycle: All paid merchant subscriptions operate on a 30-day billing cycle commencing on the date of sign-up. Invoices are issued on the day of sign-up and subsequently on every 30th day thereafter. By subscribing to a paid plan, merchants acknowledge and agree that they are obligated to the 30-day billing cycle and that charges will recur automatically every 30 days unless the subscription is cancelled prior to the next billing date. Merchants are responsible for ensuring their payment method remains valid throughout the subscription term.
  • Understand that account cancellation takes effect at the end of the merchant's current 30-day subscription cycle — the subscription and active deals remain live until that date, after which access is revoked. No pro-rated refunds will be issued for any remaining portion of the current billing cycle.

ALTOP IT SOLUTIONS INC. reserves the right to remove any deal or suspend any merchant account at its sole discretion.

7. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable federal, provincial, or municipal laws or regulations
  • Engage in fraudulent, deceptive, or misleading conduct
  • Scrape, crawl, or extract data without prior written consent
  • Transmit spam, viruses, or malicious code
  • Infringe upon the intellectual property rights of ALTOP IT SOLUTIONS INC. or any third party
  • Harass, threaten, or harm other Users or merchants
  • Circumvent or interfere with the security features of the Platform

8. Intellectual Property

All content, trademarks, logos, software, and materials on DealBite — including the DealBite name and brand — are the exclusive property of ALTOP IT SOLUTIONS INC. or its licensors and are protected under the Copyright Act (R.S.C., 1985, c. C-42) and the Trademarks Act (R.S.C., 1985, c. T-13).

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for personal, non-commercial purposes only. No rights are transferred to you beyond this licence.

9. Privacy & Personal Information

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. ALTOP IT SOLUTIONS INC. collects, uses, and discloses personal information in accordance with PIPEDA and, where applicable, Ontario's Freedom of Information and Protection of Privacy Act (FIPPA).

Merchant and user data is stored in secured cloud services across North America. We employ industry-standard encryption and security measures to protect your information against unauthorized access, alteration, disclosure, or destruction.

By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy. You may withdraw consent at any time by contacting us at support@dealbite.ca.

10. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. ALTOP IT SOLUTIONS INC. does not warrant that:

  • The Platform will be uninterrupted, secure, or error-free
  • Any deals listed are accurate, available, or will be honoured by merchants
  • Results obtained from using the Platform will meet your expectations

To the maximum extent permitted by applicable law, ALTOP IT SOLUTIONS INC. disclaims all implied warranties including merchantability and fitness for a particular purpose.

11. Limitation of Liability

To the fullest extent permitted under Ontario and Canadian law, ALTOP IT SOLUTIONS INC., its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of profits, data, or goodwill.

Our total aggregate liability to you for any claim shall not exceed the greater of CAD $100 or the amount you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ALTOP IT SOLUTIONS INC. and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

13. Subscription & Payments

Merchant subscription fees are billed in Canadian dollars (CAD). All fees are exclusive of applicable taxes including HST/GST as required under the Excise Tax Act (R.S.C., 1985, c. E-15). Refund requests will be assessed on a case-by-case basis. ALTOP IT SOLUTIONS INC. reserves the right to modify pricing with 30 days' written notice.

14. Termination

ALTOP IT SOLUTIONS INC. may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimer of warranties, and limitation of liability.

15. Amendments

ALTOP IT SOLUTIONS INC. reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
